Common Terms & Conditions of EMCOD, Inc.

Jurisdiction
These Terms and Conditions of any sale or agreement between EMCOD, Inc. and the purchaser shall be governed by and construed in accordance with the laws of the State of California and the purchaser hereby agrees to submit to the personal jurisdiction of Federal and State courts located in the State of California.
EMCOD committed to protecting the customer's privacy. All the customer's information is considered confidential and will not be sold, shared or rented to any third party.
Terms of Payment and Shipping
Net 30 from date of invoice, unless other arrangements have been made with EMCOD's Accounting Department.
Past due invoices will be billed for interest at a rate of 2.0% per month outstanding.
Products may be shipped if past due doesn't exceed 10 days.
If past due invoice exceed 30 days, the COD terms is applied.
If the check has no coverage or/and past due exceeded 75 days the overdue amount will be applied to the collection department.
Invoice will be sent by email, unless other way will be arranged.
Prices
All prices are in US Dollars, prices do not include shipping, handling, storage, taxes or installation, unless previous arrangements have been made. F.O.B. is Van Nuys, CA, 91406
New products prices could be increased after 3 months of being displayed on the company website.
Claims
All merchandise is packed to comply with Freight Carriers requirements. All packaging has been tested to freight and industry standards. EMCOD, Inc. is not responsible for damages to the products which occur in transit. It is the purchaser's responsibility to examine product upon receipt and to file any claim necessary with the carrier. Any claim against EMCOD, Inc. for invoice errors must be made by the purchaser in writing within 10 days of delivery. Failure by the purchaser to make any claims against EMCOD, Inc. within 10 days of delivery means acceptance of the product and/or invoice.
Submission of an Order
EMCOD requires all orders in writing. Purchase orders should be faxed or emailed to our office.
EMCOD's Sales Order together with the terms and conditions is an acknowledgment of it being the final expression of agreement between the purchaser and EMCOD, Inc. and supersedes all prior oral and written statements regarding the order.
Cancellation of Purchase
The fee for cancellation is 25% of the value of the merchandise. Custom orders cannot be cancelled. Cancellation of custom orders will result in a full non-refundable charge for the supplied product.
Freight Charges are non-refundable, all returned merchandise Freight Charges incurred by customer
Returns
No return of any product will be accepted without Return Merchandise Authorization (RMA) number and shipping instructions from EMCOD. This applies to returns of non-defective and defective merchandise. Return of custom products will not be accepted. Returns of non-defective product must be done within 90 days of delivery and, if approved, will be subjected to a 25% restocking fee. Returns must be in new, resalable condition in original packaging. Returns for defective product are regulated by EMCOD's warranty policy and must follow EMCOD's procedure.
Product Specifications
EMCOD, Inc.. Reserves the right to change the technical and/or design specifications of any product at any time and without notice.
Fees and Expenses
The purchaser shall pay any and all reasonable expenses, including, without limitation, reasonable attorney's fees, incurred by EMCOD, Inc. in enforcing the terms of any agreement, sale to, or collection of any amounts owed to it by the purchaser.
Limitation of Liability
EMCOD, Inc and the purchaser agree that EMCOD's liability shall be limited to the repair or replacement of the products sold to the purchaser. EMCOD, Inc. shall not be liable for any special, indirect, consequential or incidental loss or damage (including without limitation property damage, or loss of business, profits, or goodwill).
